1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of the TradeFill website, software, and related services (the "Service"). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your account credentials secure and for all activity on your account.

3. Subscription & Billing

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing with reasonable notice; changes apply at the start of your next billing period.

4. Acceptable Use

  • No unlawful, harassing, deceptive, or harmful messaging.
  • No sending SMS or calls to recipients without proper consent under applicable law (TCPA, CASL, etc.).
  • No reverse engineering, scraping, or interfering with the Service.

5. Your Content

You retain ownership of the content and customer data you submit. You grant TradeFill a limited license to host, process, and transmit it solely to provide the Service. You are responsible for the lawfulness of your content.

5a. Website Ownership & Hosting

TradeFill designs, builds, hosts, and maintains all websites delivered as part of the Service. The website itself — including its design, code, templates, layout, and underlying infrastructure — is and remains the exclusive property of TradeFill. Your subscription grants you a limited, non-transferable license to use the website to promote your business for as long as your account is active and in good standing.

If your subscription is cancelled, expired, suspended, or terminated for any reason (including non-payment), TradeFill will remove the website from its live hosting environment and take it offline. Any associated domain name, email forwarding, content updates, and lead routing tied to the website may also be deactivated. We are under no obligation to transfer, export, or continue hosting the website after cancellation. Your customer data and leads remain yours and can be exported on request before cancellation takes effect.

Website transfer option. After a minimum of twenty-four (24) consecutive months of active, paid subscription in good standing, you may request a one-time transfer of your website source files to a repository you control. The transfer is delivered via GitHub in the same codebase format the site is built and maintained in. A one-time transfer fee of $350 CAD applies, plus a domain transfer fee of $45 CAD if you would also like the associated domain name transferred to your registrar. Once transferred, TradeFill is no longer responsible for hosting, maintenance, updates, uptime, or support of the website, and the limited license under Section 5a terminates. Transfers are only available to accounts in good standing with no outstanding balance.

6. Third-Party Services

The Service may integrate with third-party providers (messaging, payments, calendars, etc.). Your use of those services is subject to their own terms.

7. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law, TradeFill will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

9. Termination

You may cancel at any time from your account. We may suspend or terminate the Service for breach of these Terms or for risk to the Service or other users.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. Courts located in Ontario have exclusive jurisdiction over any disputes.

11. Changes

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.

11a. SMS & Email Communications

By submitting a form or providing your phone number or email, you agree to receive SMS messages and emails from TradeFill related to your inquiry, appointment scheduling, reminders, customer support, and account notifications. Message frequency varies. Message and data rates may apply. Reply STOPto opt out of SMS at any time, or HELP for assistance. Consent to receive SMS is not a condition of purchasing any goods or services.
